The Licensee identified above hereby declares that it is eligible for the rates and terms for the statutory licenses for the making of ephemeral phonorecords and digital audio transmissions of sound recordings by Broadcasters published at 37 CFR 380 subpart B.

The Licensee also acknowledges that it is required to do the following on a monthly basis, within 45 days of the end of each month:

1. submit Statements of Account, accompanied by owed payments (if applicable), using either SoundExchange Licensee Direct or forms otherwise made available by SoundExchange.
2. submit Reports of Use on a monthly basis, as described in the rates and terms, using either SoundExchange Licensee Direct, e-mail, SFTP, or physical delivery (in approved formatting).
